Role Kenneth Baronoff is a Managing Director in the Mergers and Acquisitions Group and also works closely with the Restructuring Group on many debtor and creditor advisory transactions. He also heads the Firm’s Special Committee and Independent Fairness Opinion Practice.
Experience Since joining PJSC in 1999, Mr. Baronoff has primarily advised clients in the consumer products, apparel and retail sectors. Mr. Baronoff has over 18 years of investment banking experience. He has advised numerous Special Committees and Boards of Directors including Affiliated Computers Service, Atari, Inc., Claire’s Stores, Inc., Finish Line Inc., Grand Toys, Guitar Center, Inc., Harrah’s Entertainment Inc., Henry Schein Inc., Instinet Group Inc., Marsh Supermarkets, May Department Stores Company, Marvel Enterprises, Panavision Inc., Planvista, Inc., Pope Resources, L.P., S&C Electric Company, The Sharper Image, and Viacom.
Mr. Baronoff has also represented the pilots groups of both Northwest Airlines and Continental Airlines in the restructuring of each airline's cost structures, Del Laboratories, Inc. in its sale to Kelso & Co., Randa Corporation in numerous acquisitions, and Twin Labs in its sale to Ideasphere and the largest creditor group in the restructuring of Armstrong Industries.
Prior to joining PJSC, Mr. Baronoff was head of the Mergers and Acquisitions Department at Barington Capital Group. Mr. Baronoff began his career at Cahill Gordon and Reindel, where he practiced corporate law before joining Salomon Brothers as an Associate in its Mergers and Acquisitions Department. He has served as a Vice President in the Investment Banking Department of Kemper Securities Inc. and Oppenheimer & Co.
Academic Credentials Mr. Baronoff received a J.D. from New York University School of Law and a B.S. from The Wharton School at the University of Pennsylvania, graduating magna cum laude.
